About the role
The Transaction Manager leads M&A transactions – both acquisitions and divestments – across OX2’s Nordic portfolio of onshore wind, solar PV and battery storage (BESS) projects. The role owns transactions end to end, from origination and structuring through due diligence, negotiation and signing to final investment decision and financial close. The Transaction Manager is accountable for transaction and project management, business case preparation and financial modelling, the preparation of decision materials and the drafting and negotiation of transaction agreements. To succeed in the role, the Transaction Manager must have extensive knowledge of M&A processes and the full renewable energy value chain – development, permitting, grid, financing and route-to-market – together with the ability to lead and coordinate cross-functional teams and external advisers.
RESPONSIBILITIES
Key focus areas and responsibilities include, but are not limited to, the following:

Lead acquisition and divestment processes end to end – from origination and valuation through structuring, due diligence, documentation and negotiation to signing, conditions precedent and financial close

Lead transaction project teams, including junior colleagues and external advisers (legal, financial, technical, tax and commercial), owning the deal timeline and coordination across workstreams

Own structured sale and acquisition processes, including teasers, information memoranda, process letters, management presentations, data room (VDR) and Q&A management, and the evaluation of indicative and binding bids

Lead and support best-practice financial modelling of renewable energy projects – covering project and equity returns (IRR/NPV), P50/P90 production cases, DSCR, gearing, WACC and EV/MW and EV/EBITDA benchmarking – with accuracy, transparency and alignment to investment criteria

Lead the preparation of transaction memos, business cases and presentations for the executive team, board and investment committee, and obtain the required transaction approvals

Lead the drafting and negotiation of transaction documentation (NBO, term sheets, APA, SPA, shareholder/JV agreements, disclosure and W&I-related items) in coordination with legal advisers

Lead and support financing workstreams, engaging with lenders, investors and off-takers to optimise project financing and route-to-market (PPA) solutions

Work closely with the development, finance, project delivery, EPC and asset management teams to align transaction strategy with corporate and investment objectives

Ensure compliance with OX2’s investment policies, governance, applicable regulation and industry best practice
QUALIFICATIONS

Master’s degree in business/economics, engineering or a related field

Typically 5–8 years’ relevant experience in renewable energy, infrastructure M&A, project finance or transaction advisory within the relevant markets

Proven ability to lead transactions end to end, including negotiation and final investment decision / financial close

Strong financial modelling and valuation expertise applied to renewable energy assets

Experience leading projects, cross-functional teams and external advisers

Strong interpersonal and communication skills, with the ability to build trusted relationships with internal and external counterparties and convey messages clearly and professionally

Sound commercial judgement and problem-solving ability in a fast-paced, continuously evolving landscape, with the initiative to test and improve ways of working

Native or fluent in the relevant local Nordic language and fluent in English

Advanced skills in the MS Office package, particularly Excel and PowerPoint. Experience in leveraging AI tools in daily work
